1. Acceptance of Terms
By accessing or using Proxiya (https://www.proxiya.com), operated by Breakout Ventures / Breakout Ltd ('Proxiya', 'we', 'us'), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our platform.
2. Description of Service
Proxiya provides a cloud-based scheduling, calendar synchronization, video meeting automation, and paid booking software platform. Hosts configure availability and Event Types, connect third-party services (Google Calendar, Google Meet, Zoom, Microsoft 365/Outlook, and Stripe), and share booking links with invitees.
3. User Accounts & Workspace Security
You must be at least 18 years old to create a Proxiya account. You are responsible for maintaining the confidentiality of your login credentials and for all activity conducted within your workspace, including actions taken by invited team members.
4. Paid Bookings, Stripe Processing & 0% Platform Fee
Hosts may attach prices to Event Types and collect payments from invitees via Stripe Checkout. Payments are processed directly through your connected Stripe account and are governed by the Stripe Connected Account Agreement. Proxiya charges 0% platform commission on Free Starter, Pro Founder, and Startup Team plans; standard Stripe card processing fees apply.
5. Cancellations, Rescheduling & Refunds
Each Event Type specifies the host's cancellation and refund cutoff window (for example, full automatic refund when cancelled at least 24 hours before the session start time). When an invitee cancels an eligible paid booking within the host's policy window, Proxiya automatically instructs Stripe to issue a refund. Hosts remain solely responsible for fulfilling scheduled sessions and resolving any dispute with their invitees.
6. Third-Party Integrations (Google, Zoom, Microsoft, Stripe)
When you enable an integration, you authorize Proxiya to create, update, and delete calendar events, video conference rooms, or payment sessions on your behalf. You may disconnect any integration at any time via Dashboard → Integrations.
7. Acceptable Use
You agree not to use Proxiya to send unsolicited spam invitations, conduct unlawful or fraudulent transactions, infringe intellectual property rights, or attempt to probe, bypass, or disrupt platform security controls or rate limits.
8. Limitation of Liability & Governing Law
To the maximum extent permitted by applicable law, Proxiya's aggregate liability arising out of or relating to the service is limited to the subscription fees paid by you to Proxiya in the twelve (12) months preceding the claim. These Terms are governed by the laws of England and Wales.
